Mandatory Agreement

"Release of Liability, Assumption of Risk, and Indemnity Agreement"

I. Parties, Definitions, and Scope

This Release of Liability, Assumption of Risk, and Indemnity Agreement (hereinafter "Agreement") is entered into by and between French Quarter Go!, LLC, a Louisiana limited liability company (hereinafter "Company"), and the individual executing this Agreement (hereinafter "Undersigned Party" or "Customer").

• The term "Activity" shall mean all touring, rental, training, instruction, and related services, including the use or operation of any equipment (hereinafter "Equipment") provided by the Company.

• Execution of this Agreement is a non-negotiable, mandatory prerequisite for participation in the Activity.

II. Assumption of Inherent and Other Risks

The Undersigned Party hereby acknowledges that participation in the Activity, including the operation and use of Equipment in a densely populated urban environment like the New Orleans French Quarter, is inherently hazardous and carries significant risks that cannot be eliminated regardless of the care taken. These risks include, but are not limited to:

• Traffic and pedestrian accidents;

• Collisions with fixed or movable objects;

• Road, streetcar, and path defects;

• Negligent or willful acts of other participants or third parties;

• Equipment failure; and

• Serious bodily injury, permanent disability, paralysis, and death.

The Undersigned Party voluntarily and unequivocally assumes full responsibility for all such risks and any resulting injury, damage, or loss sustained by the Undersigned Party, whether caused by the negligence of the Company or otherwise.

III. Waiver and Release of Liability (Express Negligence Clause)

In consideration for the privilege of participating in the Activity, the Undersigned Party, for themselves, their heirs, executors, personal representatives, and assigns, hereby fully and forever waives, releases, and discharges the Company and its owners, agents, employees, officers, directors, representatives, and insurers (collectively, "Releasees") from any and all claims, demands, or causes of action for personal injury, property damage, or wrongful death arising from the Undersigned Party's participation in the Activity, INCLUDING THOSE CLAIMS BASED ON THE NEGLIGENCE, FAULT, OR BREACH OF CONTRACT OF ANY OF THE RELEASEES.

IV. Mandatory Competency Warranty and Forfeiture

A. Warranty of Fitness: The Undersigned Party expressly warrants that they possess a sufficient degree of physical, mental, and technical competence, skill, and ability to safely and confidently operate the Equipment in compliance with all instructions and applicable laws. The Undersigned Party further warrants that they are not under the influence of any substance that could impair judgment or motor skills.

B. Demonstrated Competence: Company staff retain sole, absolute, and non-reviewable discretion to immediately terminate the Activity and confiscate the Equipment should the Undersigned Party fail to demonstrate requisite skill and compliance.

C. Forfeiture: In the event of termination, disqualification, or refusal to sign this Agreement, ALL FEES PAID SHALL BE DEEMED EARNED AND FORFEITED TO THE COMPANY, and no refund, credit, or compensation shall be provided under any circumstance.

V. Indemnification and Hold Harmless

The Undersigned Party COVENANTS TO INDEMNIFY, DEFEND, AND HOLD HARMLESS the Releasees from and against any and all liability, claims, losses, damages, demands, and costs (including reasonable attorneys' fees) that may be incurred by the Releasees arising out of or in any way connected with the Undersigned Party’s participation in the Activity, INCLUDING CLAIMS ASSERTED BY THIRD PARTIES, MUNICIPAL AUTHORITIES, OR GOVERNMENTAL AGENCIES.

VI. Equipment Damage and Full Compensation Clause (Loss of Use)

The Undersigned Party is solely responsible for the safekeeping, care, and condition of the Equipment from the moment of receipt until its documented return. In the event the Equipment is damaged, lost, or stolen due to the actions, inactions, or negligence of the Undersigned Party, the Undersigned Party shall be liable for the following full and cumulative compensation:

1. Full Repair or Replacement Cost: Including all labor, parts, tax, and shipping.

2. Loss of Use (Lost Revenue): The Undersigned Party shall remit full monetary compensation for the revenue lost by the Company while the Equipment is rendered unserviceable or unavailable due to damage, repair, or replacement. This compensation shall be calculated at the Company's standard daily rental rate for the equivalent equipment, continuing until the Equipment is restored to safe, working, and rentable condition or replaced.

3. Administrative and Legal Costs: All reasonable costs incurred by the Company to effectuate collection or recovery.

VII. General Contractual Stipulations

• Governing Law and Jurisdiction: This Agreement shall be governed by and construed in accordance with the laws of the State of Louisiana, without regard to conflict of laws principles. The Civil District Court for the Parish of Orleans shall have exclusive jurisdiction over any dispute arising under this Agreement.

• No Negotiations or Waivers: All Company policies, requirements, age limits (e.g., minimum 25 years for electric vehicles), and this Agreement are non-negotiable. No agent or employee of the Company has the authority to waive or modify any term herein.

• Entire Agreement: This instrument constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior agreements or understandings, whether written or oral.
